| Exchange Disseminated Time | Kalyani Steels Ltd has informed BSE that at the meeting of the shareholders, convened on November 29, 2003 as per the directions of the High Court of Judicature of Bombay, the shareholders have unanimously approved the following:
1. The Scheme of Arrangement between Kalyani Ferrous Industries Ltd with the Company.
2. Utilisation of Securities Premium Account of the Company for specific purposes.
The Company has also informed that the Extraordinary General Meeting of the Equity Shareholders was also held on November 29, 2003, and the shareholders have unanimously approved the issue and allotment of equity shares to the shareholders of Kalyani Ferrous Industries Ltd, pursuant to the Scheme of Arrangement between Kalyani Ferrous Industries and the Company.
