Cyber Media India Ltd has informed BSE that the members of the Company have passed the following Resolutions by way of postal ballot, with requisite majority:

1. Re-appointment of Mr. Pradeep Gupta as Chairman and Managing Director and approving his remuneration.

2. Re-appointment of Mr. Shyam Malhotra & Mr. Krishan Kant Tulshan as Executive Directors and approving his remuneration.

3. Increase in authorized capital and alteration of capital clause of the Memorandum of Association.

4. Amending the Articles of Association by insertion of a clause authorizing the issue of warrants / fully convertible debentures / partly convertible debentures or any other financial instruments, by the Company, which would be converted into or exchanged with equity shares at a later date.

5. Issue of warrants convertible into equity shares to the promoters on a preferential basis.
