| Exchange Disseminated Time | Sicagen India Ltd has informed BSE that the members of the Company by way of Postal Ballot have passed the following resolutions, with requisite majority.
1. Special Resolution under Section 17 and other applicable provision if any, of the Act to Amend Memorandum of Association by incorporating the new Objects 17,18,19,20 & 21 in the Main Object Clause IIIA of the Memorandum of Association of the Company.
2. Special Resolution under Section 372A and other applicable provisions if any, of the Act;
(i) To make investment by way of subscription, purchase or otherwise in 11% Non-Convertible Redeemable Cumulative Preference Shares of M/s. Greenstar Fertilizers Ltd. for a total amount not exceeding Rs. 50 Crores (Rupees Fifty Crores Only); and
(ii) To give guarantee and/or provide security in connection with any loan/financial assistance availed or to be availed by M/s. EDAC Automation Limited for an amount not exceeding Rs. 2 Crores (Rupees Two Crores Only). |
