| Exchange Disseminated Time | Gangotri Textiles Ltd has informed BSE that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on February 15, 2006, inter alia, to transact the following business:
1. To create, offer issue and allot 16,00,000 share warrants of the value of Rs 50/- each convertible into 16,00,000 of equity shares at a premium of Rs 45/- per share (being price arrived at in accordance with the Guidelines for preferential issues issued by SEBI under Securities & Exchange Board of India (Disclosure & Investor Protection) Guidelines 2000 amounting to Rs 8,00,00,000 on preferential basis to the promoters.
2. Appointment of Mr. Mohanlal Tibrewal as an Executive Director for a period of five year with effect from April 01, 2006. |
