"The Board of Directors of the Company at its meeting held on February 19, 2009, has discussed in detail the financial position and projections of the Company. A proposal was received from Sri. B Vijayakumar Chairman of the Board to merge South Western Engineering India Ltd a closely held un-listed Company with the Company for better prospects. Since the Chairman was interested in both the Companies a Sub Committee was formed to be headed by Sri. P Shanmugasundaram a Non-Executive Independent Director to negotiate and formulate various issues with the target Company and to take it forward. Sri. P Shanmugasundaram occupied the chair when the subject came up for discussion as the Chairman was interested in the both the Companies and did not participate in the discussion." |
