1. Considered and recommended issue of Unsecured, Listed, Rated, Redeemable Non-Convertible Debentures of Rs. 50 Crore on Private Placement basis.

2. Considered and recommended Sub-division of each Equity Share of Rs.10/- (Rupees Ten only) each of the Company into 5 (Five) Equity Shares of Rs. 2/- (Rupees Two only) each.

3. Considered and recommended consequential alteration of Memorandum of Association of the Company.

4. Considered and recommended revision in managerial remuneration of Managing Director of the Company.

5. Considered and recommended revision in managerial remuneration of Wholetime Director of the Company.

6. To obtain approval of Members of the Company via Postal Ballot for aforesaid activities.
