| Exchange Disseminated Time | Munjal Auto Industries Ltd has informed BSE that the Orders passed by the High Courts of Gujarat and Delhi have been filed with the Registrar of Companies, Gujarat at Ahmedabad, on April 13, 2006 and with the Registrar of Companies, Delhi on April 27, 2006. Accordingly, the Scheme has become effective on April 27, 2006 and operative w.e.f. August 01, 2005.
On the Scheme becoming effective as aforesaid, the Binola Unit, Gurgaon of the Company stood transferred to and vested in SAL w.e.f. August 01, 2005 (the Appointed Date under the Scheme) and
a. On a record date, SAL is required to issue and allot 1 (one) fully paid up Equity Share of Rs 10/- each of SAL to the members of the Company for every 2 (two) fully paid up Equity Shares of Rs 10/- each held in the Company.
b. The paid up share capital of the Company stood restructured whereby the members of the Company would receive 1 (one) fully paid new Equity Shares of Rs 10/- each in lieu of every 2 (two) fully paid existing Equity Shares of Rs 10/- each held by them in the Company on the Record Date. |
