1. Resolution under Section 314(1B) of the Companies Act, 1956 according consent for Smt. Jayashree Mohta, a
Director and daughter of Shri. B K Birla, Chairman of the Company to hold office or place of profit as an Executive
Vice Chairperson.
2. Resolution under Section 198, 269, 309 read with Schedule XIII and other applicable provisions of the
Companies Act, 1956 according consent for increase in the salary range of Shri. D P Maheshwari, Managing
Director of the Company.
3. Resolution under Section 293(I)(a) according consent to create mortgage(s) and/or charges(s) on all or some of the present and / or future movable / immovable properties of the Company. |
