Kaushalya Infrastructure Development Corporation Ltd has informed BSE that the 17th Annual General Meeting (AGM) of the Company will be held on September 24, 2009, inter alia, to transact the following:

1. To receive, consider and adopt the Audited Balance Sheet as at March 31, 2009, Profit & Loss Account for the financial period ended as on that date, the Auditors Report and the Director's Report thereon.

2. To appoint a director in place of Mr. Mahesh Mehra who retires by rotation and being eligible offers himself reappointment.

3. To appoint a director in place of Mr. Shankar Saraf who retires by rotation and being eligible offers himself for reappointment.

4. To appoint Statutory Auditors and fix their remuneration.

5. To appoint Mr. Sakti Pada Banerjee as Director of the Company.

6. To re-appoint Mr. Sidhnath Mehra as the Wholetime Director of the Company for a further period of 5 years.

7. To alter the Articles of Association of the Company.

8. To vary the terms of contract referred to in the prospectus of the Company.
