| Exchange Received Time 20/09/2017 17:12:52 Exchange Disseminated Time 20/09/2017 17:13:01 Time Taken 00:00:09 | The Board of Directors of Mallcom (India) Limited ('the Company') at its meeting held on 9th September, 2017 have considered and approved a scheme of merger and arrangement under Sections 230 to 232 of the Companies Act, 2013 ('Scheme'), subject to the approvals as required, between the Company and Mallcom VSFT Gloves Private Limited, a wholly owned subsidiary of the Company.
The Scheme is subject to necessary statutory and regulatory approvals including the approval of the National Company Law Tribunal, Kolkata Bench. The Company will further make disclosures as and when required.
We are enclosing herewith a copy of scheme of arrangement of the Company and its wholly owned subsidiary.
