| Exchange Disseminated Time | With reference to the earlier announcement dated February 06,2013 regarding the Hon'ble High Court of Judicature at Madhya Pradesh on January 16, 2013 approving the arrangement, embodied in the Scheme of Arrangement between Naidunia Media Limited ("Demerged Company"/"NML") and Jagran Prakashan Limited ("Resulting Company"/ "JPL") and their respective Shareholders and Creditors ("the Scheme"), Jagran Prakashan Ltd has now informed BSE that the Copy of the Orders of Hon'ble High Court of Judicature at Allahabad and High Court of Judicature at Madhya Pradesh sanctioning the Scheme with effect from April 01, 2012 being the Appointed Date have been filed electronically with the Registrar of Companies, Uttar Pradesh and Registrar of Companies, Madhya Pradesh respectively on February 13, 2013 and February 11, 2013.
Thus, the Scheme has become effective from February 13, 2013, being the last of the dates, on which the said certified or authenticated copy of the Orders sanctioning the Scheme passed by the aforesaid Hon'ble High Courts have been filed, as the case may be, with Registrar of Companies, Uttar Pradesh and Registrar of Companies, Madhya Pradesh respectively. |
