| Exchange Received Time 14/09/2017 15:09:50 Exchange Disseminated Time 14/09/2017 15:09:56 Time Taken 00:00:06 | A Notification dated 7.9.2017 by Ministry of Corporate Affairs was received in the matter of Disqualification of Directors (of Struck off Companies) u/s 164(2)(a) of the Companies Act 2013.
With reference to the above notification all the four Directors of our Company have been disqualified due to common directorship in the above struck off Companies & vacated the office as per section 167 of Companies Act 2013 with effect from 7.9.2017.
Section 168(3) of the Companies Act, 2013 provides that when all the directors of the Company vacates the office, the Promoter or the Central Government in promoters absence, shall appoint the required number of directors who shall hold office till the directors can be appointed in the General Meeting.
Therefore, the Promoters of the Company have appointed the 3 directors as additional directors of the company with effect from 14.9.2017, to hold office till their appointment is regularized by shareholders in a general meeting.
