Shri S. K. Mandal, Director representing IFCI vide his letter dated June 02, 2011 has convened the Board Meeting of TFCI on June 03. 2011. In response thereto TFCI has replied that in terms of Articles 144 of Articles of Association of Company, no director of the Company is authorized or permitted to call or convene a Board Meeting directly.
In view of the above, the meeting convened on June 03, 2011 is illegal and as non-est and as such any resolution passed at the said meeting will be invalid." |
