BASF SE, Promoter Company of BASF India Ltd has informed the Company that its Committee of Directors has resolved by way of written resolution made on May 13, 2008, to make a voluntary Open Offer to the public shareholders of BASF India Ltd under Regulation 11(1) of the SEBI (Substantial Acquisition of Shares and Takeovers), Regulations 1997. Accordingly, BASF SE shall make an Open Offer to purchase up to 6,289,591 fully paid up equity shares (constituting 22.31 % of the issued share capital of BASF India Ltd ) at an offer price of Rs 274 per equity share for a total offer consideration of Rs 1,723,347,934 (assuming full acceptances are received in the Offer). |
