| Exchange Disseminated Time | Citigroup Global Markets India Pvt Ltd ("Manager to the offer") on behalf of Prolec-Ge Internacional, S.DE R.L.DE C.V. ("Acquirer") has issued this Public Announcement ("PA") to the shareholders of Indo Tech Transformers Ltd ("Target Company"), pursuant to Regulations 10 & 12, and in compliance with, the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("Regulations").
The Offer:
The Acquirer is making this Offer to acquire up to 21,24,000 fully paid-up equity shares of the face value of Rs 10 each ("Share") representing 20% of the Equity Capital ("Offer Size") at a price of Rs 406 (Rupees Four Hundred & Six) per equity share of the Target Company ("Offer Price"), to be paid in cash in accordance with the Regulations.
