Enam Financial Consultants Pvt Ltd ("Manager to the Offer") on behalf on Stanley Electric Co., Ltd ("Acquirer") has issued this Public Announcement ("PA") to the shareholders of Lumax Industries Ltd ("Target Company"), pursuant to regulation 11(1) & 11(2), in compliance with the Securities & Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 and subsequent amendments thereto (the "Regulations").

The Offer:

The Acquirer is making an offer to the shareholders (other than Acquirer & the Promoters / Promoter Group) of the Target Company to acquire 1,869,547 fully paid up equity shares of Rs 10/- each of the Target Company ("Equity Shares"), representing 20% of the outstanding voting equity share capital (post-preferential issue) of the Target Company at a price of Rs 540.03/- per fully paid up equity share (the "Offer Price") payable in cash in terms of regulations 20 and 21 of the Regulations (the "Offer" or "Open Offer").
