| Exchange Disseminated Time | Refex Refrigerants Ltd has informed BSE that the members of the Company, will consider to approve by way of Postal Ballot, the following Special Resolutions:
1. Investment in the securities of M/s. Sherisha Technologies (S) Pte Ltd, Singapore
To make investment designated in Singapore Dollars for an amount equivalent and not exceeding an amount of Indian Rs 60,00,00,000 (Indian Rupees Sixty Crores Only) in the securities of M/s. Sherisha Technologies (S) Pte Ltd, a body corporate incorporated under the Laws of Singapore, notwithstanding the fact that such investment together with all other investments, Loans, guarantees and securities made, given or provided by the Company may exceed the limits laid down in Sec 372 A of the Act.
2. Provision of guarantee in respect of loans granted to M/s. Kaltech Engineering, and Refrigeration Pte Ltd, Singapore.
Authorising the Board to furnish guarantee designated in Singapore Dollars for an amount not exceeding Indian Rs 100,00,00,000 (Indian Rupees one Hundred Crores Only) in respect of loans availed by M/s. Kaltech Engineering and Refrigeration Pte Ltd, Singapore a body corporate incorporated under the laws of Singapore, notwithstanding the fact that such furnishing of guarantee to all other investments, loans, guarantees and securities made, given or provided by the Company may exceed the limit laid down in Sec 372A of the Act.
The Board of Directors at its meeting held on January 09, 2008 has appointed Mr. R Muthukrishnan, Practicing Company Secretary, as Scrutinizer to receive and scrutinize the completed ballot papers from the Shareholders.
The Postal Ballot Form duly completed should reach the Scrutinizer on or before March 28, 2008. The scrutinizer will submit his report to the Chairman after completion of scrutiny and the results of the postal ballot will be announced on March 31, 2008. |
