| Exchange Disseminated Time | SRG Infotec Ltd has informed BSE that the members at the 22nd Annual General Meeting (AGM) of the Company held on December 29, 2006, inter alia, have accorded to the following:
1. Adoption of the Profit and Loss account for the financial year ended July 31, 2006 and the Balance Sheet as on that date and the report of Auditors and the Directors thereon.
2. Appointment of Shri. Prabhat Kumar Singh as a Director of the Company, liable to retire by rotation.
3. Appointment of M/s. J Kumar & Associates, Chartered Accountants, Delhi as Auditors of the Company to hold office from the conclusion of ensuing Annual General Meeting until the conclusion of the next Annual General Meeting of the Company on remuneration, terms and conditions.
4. Appointment of Shri. Ankit Rathi as a Director of the Company not liable to retire by rotation.
5. Appointment of Mr. Kuldeep Bansal as a Director of the Company liable to retire by rotation.
6. Appointment of Mr. Ankit Rathi as a Whole Time Director of the Company w.e.f. December 01, 2006 for a period of five years on remuneration, terms and conditions.
7. Change of name of the Company from "SRG Infotec Ltd" to "PAN India Corporation Ltd" or any other name as approved by Registrar of Companies, NCT of Delhi & Haryana and that the name SRG Infotec Ltd wherever it appears in the Memorandum and Articles of Association of the Company be substituted by the new name as approved by the Registrar of Companies, subject to approval of the Central Government. |
