Prism Cement Ltd has informed BSE that the members at the Extra Ordinary General Meeting (EGM) of the Company held on April 06, 2010, inter alia, have accorded to the following:

1. Appointment of Mr. Vijay Aggarwal as Managing Director of the Company, on remuneration, terms & conditions.

2. Appointment of Mr. Ganesh Kaskar as Executive Director (RMC) of the Company, on remuneration, terms & conditions.

3. To appoint Branch Auditors, as and when required, to audit the accounts in respect of the Company's divisions/branches/ offices in India and abroad and to fix their terms and conditions of appointment and remuneration, plus service tax and such other tax(es), as may be applicable, and reimbursement of all out-of-pocket expenses in connection with the audit of the accounts of the divisions/branches/offices of the Company in India and abroad for the year ending March 31, 2010.
