| Exchange Disseminated Time | Automotive Stampings and Assemblies Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the following Resolutions as under:
1. To alter the existing Article 107 of the Articles of Association of the Company be substituted by the new Article 107 as follows:
107. Save as otherwise expressly provided in the Act, questions arising at any meeting of the Board shall be decided by a majority of vote."
2. To appoint & remuneration of Mr. Vijay Bijlani, as a "Manager" u/s 269 of the Companies Act, 1956, designated as the "Chief Executive Officer" of the Company ("the appointee") for a period commencing from December 11, 2008 to December 10, 2011, on necessary terms & conditions.
The Company has appointed Mr. S V Deulkar, Practicing Company Secretary, as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot form duly completed should reach the scrutinizer on or before the close of working hours on April 13, 2009. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced by a Director of the Company on April 18, 2009. |
