| Exchange Disseminated Time | Consolidated Finvest & Holdings Ltd has informed BSE that the members at the 19th Annual General Meeting (AGM) of the Company held on September 30, 2005, inter alia, have accorded to the following:
1. Adoption of Balance Sheet as at March 31, 2005, and the Profit & Loss Account for the year ended on that date and the Report of Directors and Auditors Report thereon.
2. Declaration of Dividend @ 5% on equity share capital for the year ended March 31, 2005.
3. Re-appointment of Mr Rathi Binod Pal as Director of the Company liable to retire by rotation.
4. Re-appointment of M/s Kanodia Sanyal & Associates, Chartered Accountants, New Delhi, as the Auditors of the Company to hold office from the conclusion of this AGM till the conclusion of the next AGM.
5. Appointment of Mr Umesh Chand Jain and Mr Sanjeev Aggarwal as Directors of the Company.
6. Appointment of Mr Shammi Gupta as Managing Director of the Company with effect from December 23, 2004 on terms and Condition.
7. Alteration in Articles of Association of the Company in respect of passing of resolution by Postal ballot.
8. Authorization for Commencement of business as set out in the other object of the Memorandum of Association of the Company. |
