| Exchange Disseminated Time | Sanjay Leasing Ltd has informed BSE that the Extra Ordinary General Meeting (EGM) of the Company will be held on February 21, 2012, inter alia, to transact the following;
1. To Increase the Authorised Share Capital of the Company from Rs. 50,00,000/- (Rupees Fifty Lakhs Only) divided into 5,00,000 (Five Lakhs) Equity Shares of Rs. 10/- (Rupees Ten Only) each to Rs. 1,50,00,000/- (Rupees One Crore Fifty Lakhs Only) divided into 15,00,000 (Fifteen Lakhs) Equity Shares of Rs. 10/- (Rupees Ten Only) each by addition of 10,00,000 (Ten Lakhs) Equity Shares of Rs. 10/- (Rupees Ten Only) each aggregating to Rs. 1,00,00,000/- (Rupees One Crore Only), & consequential amendment in the Memorandum of Association of the Company.
2. To offer, issue and allot 9,00,000 (Nine Lakhs) Equity Shares of Rs. 10/- (Rupees Ten) each of the Company for cash at a subscription price of Rs. 105/- (Rupees One Hundred and Five Only) per equity share premium of Rs. 95/- (Rupees Ninety Five Only) per equity shared or at such price which shall not be less than the minimum price specified as per the SEBI Regulations for Preferential Issue being Chapter VII of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009 (hereinafter referred to as "the Regulations"), to the following persons in promoter group.
