| Exchange Disseminated Time 02/02/2016 16:32:01 | Grindwell Norton Ltd has informed BSE that Mr. Guillaume Texier, Director and Mr. Benoit d'Iribarne, Alternate Director to Ms. Marie-Armelle Chupin has resigned from the Board of Directors (“Board”) of the Company, consequent to the re-organisation of their responsibilities within the Saint-Gobain group. The Board of Directors of the Company at its meeting held on February 02, 2016, has accepted their resignations.
Based on the recommendation of Nomination and Remuneration Committee, the Board at its meeting held on February 02, 2016 has re-appointed Mr. Anand Mahajan as the Managing Director of the Company for a period of five years with effect from April 01, 2016, subject to the approval of the Members at the ensuing General Meeting of the Company.
Based on the recommendation of Nomination and Remuneration Committee, the Board at its meeting held on February 02, 2016, appointed Mr. Laurent Guillot as an Additional Director of the Company. Pursuant to sub-section (1) of Section 161 of the Companies Act, 2013, Mr. Laurent Guillot will hold office upto the ensuing Annual General Meeting of the Company. |
