| Exchange Disseminated Time | SPA Capital Advisors Ltd ("Manager to the Offer") has submitted to BSE a Copy of Public Announcement ("PA") regarding Open Offer for acquisition of 4,65,0000 Equity Shares from the shareholders of Elpro International Ltd ("Target Company"), by International Conveyors Limited ("Acquirer 1") and R. C. A. Ltd ("Acquirer 2”) and I GE (India) Pvt Ltd (“Person Acting in Concert / “PAC”) pursuant to and in compliance with Regulation 6(1) read with Regulation 13(3) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as amended (“SEBI Takeover Regulations”).
Size of the Offer: 4,65,000 Equity Shares representing 10.08% of the paid up equity share capital of the Target Company.
Offer Price / Consideration (in Rs.) : The Offer Price of Rs. 325 (Rupees three hundred twenty five only) per equity share is calculated in accordance with the Regulation 8(2) of the SEBI Takeover Regulations (“Offer Price”). |
