| Exchange Disseminated Time | Merck Ltd has informed BSE that in connection with the ongoing audit and investigation into the affairs of Sharepro, the Registrar and Transfer Agent of the Company, the Board of Directors of the Company at its meeting held on April 04, 2016 has decided to postpone the Annual general Meeting which was earlier scheduled to be held on April 28, 2016. Fresh date of the meeting will be announced separately.
The Board at its meeting held on April 04, 2016 has resolved to appoint M/s Karvy Computershare Pvt. Limited as its share registrar in place of the existing RTA i.e. Sharepro Services (India) Private Limited.
It is pertinent to mention here that pursuant to the SEBI orders the Company has initiated the process of auditing the share transactions handled by Sharepro during the preceding 10 years. On the basis of preliminary verification of our records, so far, nothing has come to the notice which suggests any impact on any shareholder of the Company due to this incident at Sharepro. |
