| Exchange Disseminated Time | | Country Club India Ltd has informed BSE that an Extra Ordinary General Meeting (EGM) of the member of the Company will be held on June 09, 2009, inter alia, to offer, issue, allot and deliver 86,00,000 (Eighty Six Lakhs Only) warrants on preferential basis convertible into seven equity shares of Rs 2/- each for every five warrants issued and allotted (i.e. 1,20,40,000 equity shares of Rs 2/- each) to Sri. Y Rajeev Reddy, Chairman & Managing Director and the Promoter of the Company for cash which shall upon conversion rank pari-passu with the existing equity shares of the Company, in such form and manner and upon such terms and conditions as the Board may in its absolute discretion deem fit, at a price not less than the price as on “Relevant Date” determined based on the provisions of Clause 13.1.1 of SEBI (Disclosure and Investor Protection) Guidelines, 2000, subject to necessary provisions & approvals. |
