1. Resignation of Shri. Ashok Mittal, as a Director of the Company and from the membership of the various Committees of the Board
The Company informs that at the meeting of the Board of Directors held on January 28, 2014, the Board has accepted the resignation of Shri. Ashok Mittal, as a Director of the Company and consequently also from the membership of Various Board
Committees.
2. Appointment of Shri. Dilip Kumar Ghorawat as Additional Director of the Company The Board has appointed Shri. Dilip Kumar Ghorawat, Chief Financial Officer of the Company, as an Additional Director under the provisions of Section 260 of the
Companies Act, 1956, and other applicable provisions of the companies Act, 1956.
3. Appointment of Shri. Dilip Kumar Ghorawat as Whole-Time Director of the Company
Pursuant to the recommendation of the Remuneration Committee, the Board has appointed Shri. Dilip Kumar Ghorawat as the Whole-Time Director (in whole employment) of the Company.
Shri. Dilip Kumar Ghorawat is presently the Chief Financial Officer (CFO) of the Company. The said appointment shall be for a period of 3 (three) years w.e.f. January 28, 2014. or as from the date his appointment on the Board becoming effective.
The appointment will be subject to the approval of the Shareholders of the Company, pursuant to Section 289, Schedule XIII and other applicable provisions, if any, of the Companies Act, 1956. |
