| Exchange Disseminated Time | Anand Rathi Financial Services Ltd ("Manager to the Offer") for and on behalf of Mrs Shobha Tainwala (Acquirer) along with Mr Dungarmal Tainwala, Mr Rajkumar Tainwala, Dungarmal Rameshkumar HUF, Mrs Amishi Tainwala, Mrs Vandana Tainwala, Mrs Liladevi Tainwala, Dr. Ramesh Tainwala, Tainwala Personal Care Products Pvt Ltd & Concept Reality & Securities Pvt Ltd ("Persons Acting in Concerts" or "PACs"), has issued this Post Offer Public Announcement to the Equity Shareholders of Tainwala Chemicals & Plastics India Ltd ("Target Company"), which is in continuation of and should be read in conjunction with the PA dated August 29, 2008 & followed by corrigendum to PA dated October 31, 2008, in pursuant and in compliance to Regulation 11(1) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers), 1997 and subsequent amendments thereto (hereinafter referred to as ("SEBI(SAST) Regulations") to acquire up to 18,72,773 fully paid up Equity shares of Rs. 10/- each to Target Company representing 20% of the Equity Voting Share Capital at a price of Rs 16.15/- per Equity Share.
The terms used but not defined in this announcement shall have the same meaning assigned to them as in the PA and subsequent corrigendum to PA. The Offer formalities have been completed and the details are as under:-
1. Acquirer & PAC's has further acquired 69576 equity shares comprising of 0.74% if total paid up capital of Target Company at the average price of Rs. 15.77/- per equity share on BSE from November 17, 2008 to November 26, 2008.
