It is to inform that 11th Annual General Meeting of PTC India Financial Services Limited (PFS) will be held on Monday, 25th September, 2017 at 11.00 A.M. at Dr. S R KVS Auditorium (Dr. Sarvepalli Radhakrishnan Auditorium), Kendriya Vidyalaya No. 2, APS Colony, Delhi-Gurgaon Road, Delhi Cantt, New Delhi- 110010.

In this regard, this is to inform that :-

1. Pursuant to the provisions of Regulations 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and Share Transfer Books of the Company will remain close from 15th September 2017 (Friday) to 25th September 2017 (Monday) (both days inclusive) for the purpose of Annual General Meeting.

2. The dividend @15% (i.e. Rs. 1.50/- per equity share at a share of Rs. 10/- each) for FY 2016-17 as recommended by the Board of Directors, if declared, at the AGM will be paid to those Members, whose names appear on the Register of Members of the Company as on closing hours of 14th September 2017 (Thursday). In respect of equity shares held in the electronic form, dividend will be paid on the basis of beneficial ownership existing as on closing hours of 14th September 2017 (Thursday) as per details available from National Securities Depositories Limited (NSDL) & Central Depository Services (India) Limited (CDSL).

3. The Company, pursuant to the provisions of Section 108 of the Companies Act, 2013 read with rule 20 of the Companies (Management & Administration) Rules, 2014 (as amended) and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 has fixed following e-voting dates:-

Opening of e-voting 22nd September, 2017 (09:00 a.m.)
Closing of e-voting 24th September, 2017(05 : 00 p.m)
Cut-off date for e-voting to determine the entitlement of the members, to cast their vote (electronically or physically) 18th September, 2017

The Company would be availing the e-voting services of its RTA, M/s. Karvy Computershare Pvt. Ltd.
