| Exchange Disseminated Time | Citigroup Global Markets India Private Limited ("Manager to the Offer") for and on behalf of Moody's Singapore Pte Ltd ("Acquirer") along with Moody's Investment Company India Private Limited ("PAC-1") and Moody's Corporation ("PAC-2") as persons acting in concert with the Acquirer (collectively, the "PAC") has informed this Post Offer Announcement to the Equity Shareholders of ICRA Limited ("Target Company") pursuant to Regulation 18(12) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 ("Regulations") in respect of the conditional open offer for acquisition of up to 2,650,000 (two million six hundred and fifty thousand) Equity Shares from the Shareholders of the Target Company by the Acquirer along with the PAC.
