| Exchange Disseminated Time | Cerebra Integrated Technologies Ltd has informed BSE that the members at the Extra Ordinary General Meeting (EGM) of the Company held on May 23, 2011, inter alia, have accorded to the following:
1. Increased the Authorized share capital of the Company from the existing Rs.45,00,00,000 (Rupees Forty Five Crores only) divided into 4,50,00,000 (Four Crores Fifty Lakhs) Equity Shares of Rs.10/- each to Rs. 50,00,00,000 (Rupees Fifty Crores) divided into 5,00,00,000 (Five Crore) Equity Shares of Rs.10/- each by creation of additional 50,00,000 (Fifty Lakhs) Equity Shares of Rs.10/- each ranking pari passu with the existing Equity Shares and consequential amendment in Memorandum & Articles of Association of the Company.
2. Authority to the Board to create, offer, issue and allot up to 3443750 Equity Shares of Rs.10/- each at such price as may be reckoned in terms of SEBI, (Issue of Capital and Disclosure Requirements) Regulations, 2009, on a preferential basis to strategic investors as set out herein below, on such terms and conditions as may be decided and deemed appropriate by the Board of Directors of the Company (the "Board" which term shall include any duly authorized Committee thereof) at the time of issue or allotment:
