| Exchange Disseminated Time | Vivro Financial Services Pvt Ltd ("Manager to the Offer") on behalf of Mr Zaverilal V Mandalia, Mr Chandresh Z Mandalia, Mr Vipul Z Mandalia, Mr Kishor P Mandalia, Mr Bharat P Mandalia, Mrs Daksha B Mandalia, Mrs Savitri D Pawani & Mrs Bharati A Pawani ("Acquirers") along with Mrs Prafullaben Z Mandalia, Mrs Fenny C Mandalia & Mrs Aruna K Mandalia ("Persons Acting in Concerts” or "PACs"), has issued this Public Announcement ("PA") to the equity Shareholders of Core Emballage Ltd ("Target Company"), pursuant to & in compliance with Regulation 10 & 12 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 ("SEBI (SAST) Regulations, 1997") & subsequent amendments thereto.
The Offer:
The Acquirers along with the PACs are making an Open Offer ("Offer") to the Shareholders (other than Parties to the Share Purchase Agreement") of the Target Company to acquire 27,24,711 fully paid up equity shares of Rs 10/- each at a price of Rs 10/- (Rupees Ten Only) each representing 20% of its subscribed, paid up (net of shares forfeited) & voting capital of the Target Company. The Offer is at a price of Rs 10/- per fully paid up equity share ("Offer Price") is payable in cash ("Offer") subject to terms & conditions mentioned in PA.
