| Exchange Disseminated Time | Mefcom Capital Markets Ltd ("Manager to the Offer") on behalf of HB Stockholdings Ltd ("Acquirer") and Mr. H C Bhasin (PAC) has issued this Public Announcement ("PA"), to the shareholders of DCM Shriram Industries Ltd ("Target Company"), pursuant to Regulation 10 & in Compliance with the Securities and Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 (SEBI (SAST) Regulations) and subsequent amendments thereto.
The Offer
The Acquirer is making an Open Offer to the shareholders of the Target Company to acquire upto 35,00,000 fully paid up equity shares of Rs 10/- each of the Target Company ("Offer Shares"), representing 22.88% of fully paid-up equity Share Capital at a price of Rs 70/- per equity share ("the Offer Price") payable in cash, subject to terms & conditions mentioned in PA and in pursuance of Regulation 10 of the SEBI (SAST) Regulations.
