| Exchange Disseminated Time | State Trading Corporation of India Ltd has informed BSE that the members at the 55th Annual General Meeting (AGM) of the Company held on September 29, 2011 inter alia, have accorded the following:
1. Adoption of the Directors' Report and Audited Accounts of the Corporation for the year 2010-11 together with Auditors' Report, Comments of the C&AG thereon and the Management's replies thereto.
2. Declaration of dividend of 30% on the paid-up equity share capital of the Company for the year 2010-11.
3. (i) Appointment of Shri Rajan Katoch, as part-time official Director of the Company, liable to retire by rotation, on such terms and conditions and tenure as may be determined by the President of India from time to time.
(ii) Appointment of Shri Naresh Dayal, Shri Proshanto Banerjee and Prof. R. H. Dholakia, as part-time non-official Directors of the Company, liable to retire by rotation, on the terms and conditions and tenure as may be determined by the President of India from time to time.
(iii) Re-appointment of Shri M. M. Sharma and Shri SS. Roy Burman, as whole-time Directors on the terms and conditions approved by the President of India from time to time.
4. Authorized to decide and fix the remuneration of the Statutory/Branch Auditors of the Company for the financial year 2011-12. |
