| Exchange Disseminated Time 07/03/2016 16:24:35 | S H Kelkar and Company Ltd has informed BSE that the Board of Directors of the Company would be considering a proposal for declaration of Interim Dividend for the financial year 2015-2016 to the Equity Shareholders of the Company ("Interim Dividend") by way of a circular resolution which shall be circulated to the Directors through e-mail on March 10, 2016.
The declaration of Interim Dividend for the financial year 2015-2016 by the Board of Directors through Circular Resolution will be intimated as and when it is approved by majority of the Directors entitled to vote on the resolution.
In accordance with the provisions of Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015 and in terms of trading restrictions placed by Clause 8 of the Company's Code of Conduct to Regulate, Monitor and Report Trading by Insiders, the Trading Window for dealing in the securities of the Company shall remain closed for the purpose of consideration and declaration of Interim Dividend, if declared, for all Designated Persons of the Company from March 08, 2016 till March 21, 2016 (both days inclusive). |
