| Exchange Disseminated Time | Agre Developers Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 07, 2012, inter alia, has transacted the following:
1. The Board considered and approved a Scheme of Arrangement between Company and its wholly owned subsidiary Company viz. Agre Properties & Services Limited. The Board further authorized, interalia, Committee of Directors to do all such acts and deeds as may be necessary to get the Scheme of Arrangement approved from the Hon'ble High Court Bombay and other authorities.
2. The Board has also taken note of the new Certificate of Incorporation dated February 06, 2012 issued by the Registrar of Companies, Mumbai, Maharashtra reflecting new name of the Company "Future Market Networks Limited".
3. The Board has also approved an Employee Stock Option Scheme for the employees and / or directors including that of the Subsidiary Companies. |
