Pursuant to the Composite Scheme of Arrangement between the Company and Heritage Foods Limited ('HFL') and Heritage Foods Retail Limited ('HFRL') and their respective Shareholders and Creditors as approved by Mumbai Bench and Hyderabad Bench of National Company Law Tribunal and made effective from 19th May, 2017, and as authorised by the Board, the Committee allotted 1,78,47,420 (One Crore Seventy Eight Lakh Forty Seven Thousand Four Hundred and Twenty) Equity Shares of ` 2/- each as fully paid up to Shareholders of HFRL (i.e. HFL).
Upon allotment, the paid-up equity share capital of the Company stand increased to Rs. 97,96,23,562/- (Rupees Ninety Seven Crore Ninety Six Lac Twenty Three Thousand Five Hundred Sixty Two only) divided into 48,98,11,781 (Forty Eight Crore Ninety Eight Lac Eleven Thousand Seven Hundred Eighty One) Equity Shares of Rs. 2/- (Rupees Two only) each from Rs. 94,39,28,722/- (Rupees Ninety Four Crore Thirty Nine Lac Twenty Eight Thousand Seven Hundred Twenty Two only) divided into 47,19,64,361 (Forty Seven Crore Nineteen Lac Sixty Four Thousand Three Hundred Sixty One) Equity Shares of Rs. 2/- (Rupees Two only).
