| Exchange Disseminated Time | Celebrity Fashions Ltd has informed BSE that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on June 09, 2010, inter alia, to transact the following:
- Pursuant to the provisions of Sections 78, 100 to 103 and other applicable provisions, if any, of the Companies Act, 1956 and Article 8 of the Articles of Association of the Company and subject to the sanction of the Composite Scheme of Arrangement ("Scheme") between Celebrity Fashions Ltd. and Indian Terrain Fashions Ltd. and Celebrity Clothing Ltd. and their respective Shareholders and Creditors by the Hon'ble High Court of Judicature at Madras, under Sections 391 to 394 read with Section 78 and Sections 100 to 103 of the Companies Act, 1956, the accumulated losses of the Company to be written off against the Securities Premium Account to the extent available and /or against the Profit and Loss Account and / or General Reserve Account / Capital Reserves, in terms of the Scheme, to such extent as may be determined by the Board. |
