Sayaji Hotels Ltd has informed BSE that the Board of Directors of the Company at its meeting held on April 09, 2014, inter alia, has considered and approved the following decisions:

1. Approval/consent to give corporate guarantee of amount not exceeding Rs. 24 crore in favor of “State Bank of India”, on behalf of wholly owned subsidiary of the company named “M/s. Malwa Hospitality Pvt. Ltd.”

2. Changing in the name of investor grievance committee to stakeholders relationship committee.

3. Adoption of the code of conduct for board of directors of the company as per the schedule IV read with the clause 49 of the listing agreement.
