| Exchange Disseminated Time 24/10/2016 15:09:41 | With reference to the earlier letter dated October 08, 2016 for conveying the intimation of the meeting of the Board of Directors scheduled to be held October 27, 2016 to consider unaudited financial results of the Company for the quarter ended September 30, 2016.
Nath Bio-Genes (India) Ltd has now informed BSE that the Company has received information from two of the independent directors about their unavailability for the audit committee meeting and subsequent board meeting to be held on October 27, 2016. Thus due to unavailability of minimum Independent Directors to form the quorum in Audit Committee meeting to be held on October 27, 2016, the Audit Committee Meeting is being postponed to November 14, 2016. Also, pursuant to Regulation 18 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Section 177(4)(iii) of Companies Act, 2013, due to postponement of Audit Committee Meeting, the Board Meeting has been postponed to November 14, 2016 for approving the Unaudited Quarterly Results. |
