With reference to the above cited subject, we would like to inform that Directors in their Board Meeting held on 11-05-2017 have inter alia, transacted the following matters: 1. Approved the Standalone Audited Financial Results for the Quarter and Year Ended 31st March, 2017 2. Approved the Consolidated Audited Financial Results for the full Year Ended 31st March, 2017 3. Taken note of the Auditors Reports forming part of Quarterly Financials and full year Standalone and Consolidated financials ended 31st March, 2017 4. Recommended the payment of annual dividend of Re. 2.20/- per equity share i.e. 110% on face value of Rs. 2/- per share and the same will be payable after it is approved by the shareholders at the ensuing Annual General Meeting. 5. The Key operating highlights of the Audited Annual Results for the year ended 31st March 2017 are as under: a) Sales recorded at Rs.727.30 Crs. during the financial year of 2016-17 an increase of 5.51% over the previous year. b) PAT recorded at Rs. 85.57 Crs. For the financial year 2016-17 an increase of 39.66% over the previous year. c) Recorded the Exports Sales of Rs. 129.52 Crs for the year ended 31st March 2017 an increase of 10.91% over the previous year. 6. Fixed the date of 29thAnnual General Meeting of the Company to be held on Monday, 31st July, 2017 atHotel Balaji Sarovar Premier, Survey No. 9/1A/1, Asara Chowk, Hotgi Road, Solapur, Maharashtra - 413 224 7. Approved to close the register of members from 22.07.2017 to 31.07.2017 (both days inclusive), for the purposes of 29th Annual General Meeting and payment of dividend. 8. Pursuant to Clause 4.1 of the SEBI Circular no CIR/CFD/CMD/56/2016 dated May, 27, 2016 we hereby declare that, the Statutory Auditors of the Company M/s V Sridhar & Co., Chartered Accountants, (Firm Reg No.006206S) have issued an Audit Report with unmodified opinion on Standalone Financial Results for the quarter & year ended 31st March 2017 and Consolidated Financial Results for the year ended 31st March 2017 with unmodified opinion.
