| Exchange Disseminated Time | Switching Technologies Gunther Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 11, 2007, inter alia, has transacted the following business:
1. Appointment of Mr. P Ramesh, Alternate Director, of the Company, as the Occupier under the Factories Act and is authorised to deal with the various matters including authentication and signing of the statements, returns, declarations, etc. and to appear before the authorities under the Factories Act and to represent the Company and to do all such acts, deeds and things as may be required from time to time for and on behalf of the Company on matters relating to Factories Act.
2. Appointment of Mr. P Ramesh, Alternate Director of the Company, as Authroised Representative of the Company and is authorised to deal with the various matters including authentication and signing of the statements, returns, declarations, etc. and to appear before the authorities under various statutes including Provident Fund, ESI, MEPZ, Sales Tax, Income-tax, Service Tax, Pollution Control, Customs, excise and Reserve Bank of India and to represent the Company and to do all such acts, deeds and things as may be required from time to time for and on behalf of the Company on matters relating to PF, ESI, MEPZ, Sales Tax, Income-tax, Service Tax, Pollution, Control, Customs, excise and Reserve Bank of India.
3. Convening the 19th Annual General Meeting of the Company on September 26, 2007, to transact the business as contained in the draft notice.
4. The Board considered the various options available for mobilizing additional financial resources and wanted a detailed proposal giving various options available to the Company. |
