| Exchange Disseminated Time | Agio Paper & Industries Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the following Resolutions:
1. To create, issue, offer and allot on preferential basis, at its sole and absolute discretion, 10,000,000 (One Crore) Equity Shares of Rs. 10/- each at such price or prices, in such manner and on such terms and conditions as prescribed under SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009 to the following persons:-
i. Name of the proposed allottee: Mr. Murari Lal Jalan (NRI-Promoter)
- Number of Equity Shares proposed to be allotted: 5,500,000
ii. Name of the proposed allottee: Mr. Bharat Mekani (NRI-Non Promoter)
- Number of Equity Shares proposed to be allotted: 1,500,000
iii. Name of the proposed allottee: Mr. Anand Kumar Purohit (NRI-Promoter)
- Number of Equity Shares proposed to be allotted: 1,500,000
iv. Name of the proposed allottee: Mr. Babulal Bahadur (NRI-Promoter)
- Number of Equity Shares proposed to be allotted: 1,500,000
2. To sell / lease / transfer and/or dispose off company’s assets more specifically situated it the Company’s Mill at Village Dhenka,P.O: Darrighat-Masturi, Bilaspur 495551, Chhattisgarh on the terms and conditions as may be decided by the Board as deemed fit, proper and beneficial in the interest of the Company and also to do all such acts, deeds, matter and things as may be deemed necessary and/or expedient in its discretion for completion of the transaction as aforesaid in the best interest of the Company, subject to necessary provisions & approvals.
The Board of Directors has appointed Mr. A K Labh, Practicing Company Secretary as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot form duly completed should reach the scrutinizer before the close of working hours on or before March 11, 2011. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced by the Board of Directors on March 12, 2011. |
