| Exchange Disseminated Time | Gandhimathi Appliances Ltd has informed BSE that an Extraordinary General Meeting (EGM) of the members of the Company will be held on December 24, 2011, at Kelambakkarn - 603 103, District Tamil Nadu on December 24, 2011 at 11.00 am to consider and if thought fit, to pass with or without modification the following resolutions:
1. To alter the Article 83 of the Articles of Association of the Company.
2. To alter the Articles of Association of the Company by deletion of Articles 114, 115 and 117 therefrom and by substitution of the new articles in place thereof.
3. To appoint Mr. V M Lakshminarayanan as Managing Director of the Company for a period of three years with effect from December 01, 2011, whose period of office shall not be subject to retirement by rotation during his tenure of office, on the necessary remuneration, terms and conditions. |
