Based upon the fact that a writ petition has been filed by Ms. Sonali Bhagwati Dalal in the Hon'ble High Court of Delhi at New Delhi and subsequent to this an interim order dated October 27, 2017 has been issued by Hon'ble High Court of Delhi granting a stay on the impugned list of disqualified directors to the extend it includes the name of Ms. Sonali Bhagwati Dalal, the Board of Directors have opined that continuation of Ms. Sonali Bhagwati Dalal as an Independent, is in compliance with the provisions of the Act and governance requirement under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
