| Exchange Disseminated Time | CyberTech Systems and Software Ltd has informed BSE that Board of Directors by way of Circular Resolution which was passed by the Directors on March 30, 2015 appointed Mr. M.P. Bharucha (a Non- independent Director of the Company) as an Independent Director of the Company, as he meets the criteria of independence stated in Section 149(6) of the Companies Act, 2013 as also Listing Agreement as amended up to date. His appointment as Independent Director is subject to the approval of Shareholders in ensuing Annual General Meeting. Mr. M.P. Bharucha will hold the office of Independent Director till September 30, 2019.
To broad base the Board, the Board of Directors of the Company at its meeting held on March 30, 2015, also appointed Mr. Anant Vishnu Rajwade, as an Additional Director/Independent Director of the Company till March, 29, 2020 as he has given the declaration that he meets the criteria of independence stated in Section 149(6) of the Companies Act, 2013 as also Listing Agreement as amended up to date. His appointment as Independent Director is also subject to the approval of the shareholders in the ensuing Annual General Meeting of the Company. |
