| Exchange Disseminated Time | | Vishal Retail Ltd has informed BSE that the Extra Ordinary General Meeting (EGM) of the Members of the Company will be held on June 27, 2009, inter alia, to offer, issue and allot, in one or more tranches, up to 75,00,000 (Seventy Five Lacs only) warrants on a preferential basis to the Promoters and / or Promoter Group of the Company, entitling the holder of each warrant, from time to time, to apply for and obtain allotment of one equity share of the face value of Rs. [10]/- each against such warrant (“Warrants”), in one or more tranches, in such manner and on such price, terms and conditions as may be prevailing at the time; provided that the minimum price of the Warrants so issued shall not be less that the price arrived at in accordance with provisions of Chapter XIII of SEBI (DIP) Guidelines, on such terms and conditions and in such manner as the Board may think fit, subject to necessary provision and approvals. |
