| Exchange Disseminated Time | Vinaditya Trading Company Ltd has informed BSE that the Board of Directors of the Company at its meeting held on April 09, 2015, has discussed the below mentioned matter:-
1. The Board has appointed Mrs. Jyoti Ananda Ghungarde as an Additional Director in the Company as per the provisions of Companies Act, 2013.
2. The Board took note of transfer of shares for the application received from the members of the Company.
3. The Board has considered the matter of para 5.16(a) of the SEBI Circular for clause 24(f) of the Listing Agreement for approval for approval of Scheme of Amalgamation.
4. Board took the note on Disclosure received by the Company pursuant to Section 184(1) of Companies Act, 2013 and Rule 9(1) of the Companies (Meeting of Board and Powers) Rules, 2014.
5. Board took the note on Intimation received by the Company Pursuant to Section 164(2) Companies Act, 2013 and rule 14(1) of Companies (Appointment and Qualification of Directors) Rules, 2014. |
