| Exchange Disseminated Time | Salona Cotspin Ltd has informed BSE that the members at the 12th Annual General Meeting (AGM) of the Company held on September 27, 2006, inter alia, have accorded to the following:
1. Adoption of the Profit and Loss Account for the year ended March 31, 2006, the Balance Sheet as on that date, Reports of the Directors and Auditors thereon.
2. Declaration of dividend @ 10% on the paid up share capital of the Company.
3. Re-appointment of Sri Dulichand Pansari & Sri Kanhaiyala Sharma, as Directors of the Company.
4. Appointment of M/s VKS Aiyer & Coy, Chartered Accountants, as Auditors of the Company from the conclusion of this meeting till the conclusion of the next Annual General Meeting of the Company, on remuneration, terms & conditions.
5. Modification of remuneration payable to Sri Shyamlal Agarwala, Managing Director for the remaining tenure of office with effect from July 01, 2006.
6. Re-appointment of Sri Manojkumar Jhajharia, Joint Managing Director of the Company for a further period of 5 years with effect from July 01, 2006, on remuneration, terms & conditions. |
