| Exchange Disseminated Time | | Kotak Mahindra Capital Company Ltd ("Manager to the Open Offer") has submitted to BSE a Copy of Public Announcement ("PA") to the Public Shareholders of OnMobile Global Limited (“Target Company”) regarding regarding voluntary open offer (“Open Offer”) to the public shareholders of the Target Company to acquire up to 11,900,000 (Eleven Million Nine Hundred Thousand Only) equity shares of face value of Rs. 10/- (Rupees Ten Only) each of the Target Company (“Shares”) representing 10.03% of the fully diluted voting share capital of the Target Company (“Fully Diluted Voting Share Capital”) at a price of Rs. 40/- (Rupees Forty Only) per Share, subject to the terms and conditions mentioned in this PA, pursuant to and in compliance with, among others, regulation 6 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto (“SEBI (SAST) Regulations”). |
